REPUBLICAN PARTY BYLAWS

January 13, 2005

ARTICLE I – NAME

The name of the organization shall be the Island County Republican Central Committee, hereinafter referred to as the Central Committee. The trade name shall be Island County Republican Party.

ARTICLE II – OBJECT

To do all things necessary and proper to promote the Republican Party and its ideals, and the election of Republican candidates to public office.

ARTICLE III – MEMBERSHIP

SECTION 1.  The voting members of the Central Committee shall be:

  1. Those Precinct Officers duly elected in their respective precincts at a state general election and certified by the Supervisor of Elections of Island County;
  2. Those officers of the Central Committee elected at the organizational meeting or their legitimate successors;
  3. Those Precinct Committee Officers appointed by the Central Committee Chair following completion of the organizational meeting prescribed in RCW 29.42.030;
  4. The duly elected and confirmed Area Committee Chair and First and Second Vice Chair;
  5. The Chair of each standing committee appointed by the Central Committee Chair;
  6. Those Precinct Chairmen appointed by the Central Committee Chair, who are not required to be residents or registered voters in the precinct in which they serve, but who will have the powers and responsibilities of precinct committee officers, except that they shall not be entitled to vote at meetings of the Central Committee on the election of officers, delegates or elected officials.
  7. Presidents of all Island County Republicans Clubs which have been found by the Central Committee to be legitimate organizations dedicated to furthering Republican principles.

SECTION 2.  The ex-officio, non-voting, members of the Central Committee shall be any Republican elected to the Federal Legislature from the Second Congressional District, to the State Legislature from the Tenth Legislative District, and to the Island County government.

SECTION 3.  The Central Committee may establish a non-voting General Membership category for Republicans in Island County and determine their rights and privileges.

 

ARTICLE IV – OFFICERS

SECTION 1.   The officers of the Central Committee shall be a Chair, a State Committeeman, a State Committeewoman, Vice-Chair (whose gender shall be of the opposite of that of the Chair), a Secretary and a Treasurer, all of whom shall be elected at the organizational meeting.

SECTION 2.  At the second regular Central Committee meeting, a Nominating Committee consisting of a member from each County Commissioner District shall be elected by the Central Committee. It shall be the duty of this committee to nominate candidates for offices to be filled. The Nominating Committee shall report a slate of candidates at the organizational meeting for the consideration of the newly organized Central Committee. A slate shall be one man or one woman for each position to be filled.  Nominations at the organizational meeting shall also be open from the floor.

SECTION 3.   If an officer of the Central Committee establishes residence outside Island County , such action shall constitute an automatic resignation and the office deemed vacant.

SECTION 4.   Any officer of the Central Committee may be removed from office for cause by a vote of two thirds (2/3) of the voting members of the Central Committee, with prior notice provided at the previous meeting of the Central Committee or with the call of the meeting at which the vote is taken. If notice is provided with the call of the meeting, a ten (10) day written notice call shall be required. Voting for removal shall be by written ballot.

SECTION 5.  In the event of a vacancy, the Chair may make a temporary appointment to fill the vacancy until such times as the vacancy can be filled by election from a slate of candidates nominated by the Nominating Committee.  Nominations shall also be accepted from the floor.  All elections to fill such vacancies shall be held at the first Central Committee meeting held subsequent to the occurrence of the vacancy, unless a motion to delay the election is sustained by majority vote of the voting members of the Central Committee present at said meeting.

SECTION 6.  The officers shall perform the duties prescribed by these bylaws and the parliamentary rules adopted by the Central Committee.

 

ARTICLE V – DUTIES OF OFFICERS

Members of the ICRP Officers (the Chairman or Chairwoman, the Secretary, the Treasurer, the State Committeeman and the State Committeewoman) shall refrain from publicly endorsing any candidate in a Republican contested race as a party officer. The intent of this provision is to maintain the appearance of neutrality and fairness to all Republican candidates where one or more Republicans are campaigning for the same position, or where an incumbent Republican faces a challenge from another Republican. This does not, however, preclude any officer from working on behalf of any Republican candidate’s campaign.

SECTION 1. DUTIES OF THE CHAIRMAN or CHAIRWOMAN

The Chair of the Island County Republican Party shall:

  1. Preside at all meetings of the ICRP Executive Board and Central Committee.
  2. Appoint all committees and committee chairs as prescribed by Article VIII except the Nominating Committee;
  3. Participate in organization of the 10th Legislative District Committee.
  4. Attend all meetings of the Washington State Republican Party (WSRP) State Committee or send a proxy, as long as County Chairs are voting members of the WSRP State Committee.
  5. Have a discretionary fund, not to exceed $500.00, necessary to conduct the business of the Island County Republican Party for materials, office supplies, signs, advertising and other items that promote the Island County Republican Party. 

SECTION 2. DUTIES OF THE VICE-CHAIRMAN or VICE-CHAIRWOMAN

The Vice-Chairman or Chairwoman of the Island County Republican Party shall:

  1. Attend all meetings of the ICRP Executive Board and Central Committee, and the Island County Republican Party Convention.
  2. Assume the duties of the Chair of the ICRP in his or her absence.
  3. Perform such other duties as may be assigned by the Chair.

SECTION 3: DUTIES OF THE SECRETARY:

The Secretary of the Island County Republican Party shall:

  1. Attend all meetings of the ICRP Executive Board and Central Committee and the Island County Republican Party Convention.
  2. Record the minutes of all ICRP Executive and Central Committee meetings and shall send the ICRCC meeting call and special meeting call as directed by the Chair.
  3. Prepare and mail or e-mail the minutes of each ICRP meeting and ICRP Convention within twenty-one (21) days of the meeting and/or the event to all members of the ICRP Central Committee.
  4. Keep the official list of members.
  5. Distribute other materials as directed by the Chair.
  6. Maintain the official records of the Island County Republican Party.

SECTION 4: DUTIES OF THE STATE COMMITTEEMAN and STATE COMMITTEEWOMAN

The State Committeeman and State Committeewoman shall:

  1. Attend all meetings of the ICRP Executive Board, Central Committee and the ICRP Convention.
  2. Attend all meetings of the WSRP Central Committee or send a proxy.
  3. The State Committeeman and State Committeewoman are encouraged to participate in official WSRP activities and serve on WSRP Committees to assure that the ICRP is visible and represented at the state level.

SECTION 5: DUTIES OF THE TREASURER

The Treasurer shall:

  1. Attend all meetings of the ICRP Executive Board and Central Committee
  2. Receive all funds of the ICRP, including dues (if any) and be custodian of the funds of the ICRP.
  3. Open and maintain a regular checking account for depositing funds payable to the ICRP and issuing checks in payment to vendors and/or other obligations as deemed proper by the voting body of the ICRP.
  4. Submit required reports to the P.D.C. in a timely manner.
  5. Pay, when duly approved by the ICRP Chair and certified by the person who contracted same, all bills of the ICRP.
  6. Keep an account of all monies received by the Treasurer and give a full report at all ICRP meetings and conventions, and at any time the ICRP Chair requests same.

ARTICLE VI – MEETINGS

SECTION 1. The Central Committee shall meet five (5) times in even numbered years and four times in odd numbered years. The 5th meeting of the even numbered years precedes the reorganization meeting and shall be in December. The first meeting of the odd numbered years shall be in January. The other Central Committee and Executive Board meetings shall be at the call of and the place designated by the Chair of the Central Committee. Area Chair meetings will be at the call of and the place designated by each Area Chair.

SECTION 2.  Special meetings of the Central Committee may be called by the Chair or, at the request of twenty-five percent (25%) of the voting members or three (3) members of the Executive Board, provided: (1) that they have delivered to the Chair a formal written request specifying the reason(s) for calling the meeting; and (2) the Chair fails to do so for a period of five (5) working days after the reception of the request.

·         All calls for special meetings shall be in writing and delivered to all members of the Central Committee at least 7 (seven) days prior to the date of the meeting.

·         All special meetings shall be conducted under the same rules as regular meetings.

SECTION 3.  A quorum shall be greater than 50% of the voting members.

SECTION 4.  The organizational meeting will be held in accordance with RCW 29.42.030. The Central Committee is authorized to expend such sums of money as are necessary to notify the newly elected Precinct Committee Officers in order to provide them with the information necessary to the conduct of the meeting, and to provide adequate space and equipment essential to the meeting. The organizational meeting is the first regular Central Committee meeting.

ARTICLE VI I- THE EXECUTIVE BOARD

SECTION 1.   The voting members of the Executive Board shall be:

  1. The County Chair , Vice-Chair, Secretary, Treasurer, State Committeeman, and State Committeewoman;
  2. The duly elected and confirmed Area Committee Chair or, in his or her absence, the First Vice Chair or Second Vice Chair from each properly constituted area.

SECTION 2.  The ex-officio, non-voting members of the Executive Board shall be:

1.        Any Republican elected to the Federal Legislature from the Second Congressional District, to the State Legislature from the Tenth Legislative District, and to the Island County government;

2.        Presidents of all Island County Republicans Clubs which have been found by the Central Committee to be legitimate organizations dedicated to furthering Republican principles;

3.        The Chair of any standing committee appointed by the County Chair .

SECTION 3.  It shall be the duty of the Executive Board to plan the annual program of the Central Committee to be submitted to the Central Committee for approval at the first meeting after the organizational meeting.

SECTION 4.  The Executive Board shall have general supervision of the affairs of the Central Committee between its business meetings, make recommendations to the Central Committee, and perform such other duties as are specified in the bylaws.  The Executive Board shall be subject to the orders of the Central Committee, and none of its acts shall conflict with action taken by the Central Committee.

SECTION 5.   Unless otherwise ordered by the Executive Board, regular meetings of the Executive Board shall be held four (4) times each year, or at the call of the Chair. Special meetings may be called upon the written request of three (3) voting members of the Board.

  • All calls for special meetings shall be in writing and delivered to all members of the Executive Board at least 7 (seven) days prior to the date of the meeting.
  • All special meetings shall be conducted under the same rules as regular meetings.

ARTICLE VIII - COMMITTEES

SECTION 1.  Area Committees shall consist of the elected and appointed Precinct Committee Officers of the Area, together with all other persons elected to an Area office, and Central Committee members who may reside within the Area.  The Precinct Committee Officers of each area shall caucus during the recess of the organizational meeting to elect an Area Chair and a Vice Chair, all of whom shall be subject to confirmation by the Central Committee. Confirmation by the Central Committee shall be by majority vote. The duties of this committee shall be to carry out the plans and policies of the Central Committee, and the instructions of the Executive Board.

SECTION 2.  A Financial Committee shall be composed of the Treasurer and the Area Chairs. It shall be the duty of the committee to prepare a budget for the calendar year beginning the first day of January and submit it at the second regular meeting of the year of the Central Committee. The budget will include a financial plan for acquiring the funding, including a calendar of events showing time and place for each fund-raising effort. This committee will assist the Area Committee in organizing and executing fund-raising projects.

SECTION 3.  An Auditing Committee of three persons shall be appointed by the County Chair at the third meeting of the year of the Central Committee, whose duty it shall be to audit the Treasurer's accounts at the close of the fiscal year and to report to the Executive Board.

SECTION 4.  A Candidate and Issues Committee shall be composed of the Vice Chair, who will chair the committee, and a minimum of two members appointed by the Chair such that all three Commissioner areas are represented. It shall be the duty of the committee to seek and recommend candidates for partisan offices, and to recommend action on ballot issues.

SECTION 5.  Such other committees, standing or special, shall be appointed by the County Chair as the Central Committee or Executive Board shall deem it necessary to carry out the work of the Central Committee. Persons under consideration for standing committee chairmen must be registered voters and have attended at lease one verifiable republican convention if they are not members of the Central Committee. The County Chair shall be an ex-officio member of every committee except for the Nominating Committee.

ARTICLE IX - COUNTY CONVENTION

SECTION 1.  The County Chair shall arrange and provide for a Republican Party County Convention in accordance with a call received from the Republican Party State Committee, for the purpose of electing delegates to the Republican Party State Convention, receiving reports, considering resolutions, and transacting such other business as may properly come before it.

SECTION 2.  Delegates and alternates to County and State Conventions shall be qualified Republican voters of Island County .

SECTION 3.  Convention committees appointed by the County Chair shall include: General Arrangements, Credentials, Standing Rules, Program, Elections, and Platform.

SECTION 4.  The County Chair shall be the temporary chairman of the County Convention .

SECTION 5.  A participation fee may be charged for the county convention.

ARTICLE X - PARLIAMENTARY AUTHORITY

The rules contained in Robert's Rules of Order, Newly Revised, latest edition, shall govern in all cases to which they are applicable and in which they are not inconsistent with these bylaws or any special rules of order the Central Committee may adopt.

ARTICLE XI - ADOPTION OF BYLAWS AND AMENDMENTS

SECTION 1.  Following the organizational meeting held in accordance with RCW 29.42.030 the Central Committee shall appoint a committee to review bylaws, which committee will then cause the recommended bylaws to be included in the call of a regular meeting of the Central Committee. Adoption will require a majority of voting members present. Until such bylaws have been adopted by the Central Committee, the bylaws previously adopted shall remain in full force and effect.

SECTION 2.  Following the adoption the bylaws may be amended at any regular meeting of the Central Committee by a two thirds (2/3) vote of the number of voting members of the Central Committee, provided that the amendment had been submitted in writing at the previous regular meeting of the Central Committee or in the call to the meeting.

The foregoing bylaws of the Island County Republican Party were duly adopted as provided herein on the 13th day of January, 2005
